1) Prices back to top
Are those ruling at date of despatch and are subject to alteration as may be necessary. Unless otherwise stated prices and delivery charges will be exclusive of VAT and delivery costs.

2) Small Orders back to top
Administration costs combined with our keen product pricing policy, result in the need to levy a small order charge of £2.50 on all orders with a net goods value of £25 or less. In practice, with the most comprehensive catalogue in the industry, most customer’s orders exceed this amount.

3) Payment (Customers with a Credit Account) back to top
Payment is due in full, 30 days from date of invoice.
5% discount is offered for prompt 7 day settlement. Books and hairdressing products/equipment do not attract prompt payment due to our keen pricing policy. PROMPT DISCOUNT IS NOT ALLOWED IF A PREVIOUS BALANCE IS STILL OUTSTANDING OR FOR ORDERS UNDER £25.00. FURTHER ORDERS WILL NOT BE DESPATCHED WHILST A BALANCE REMAINS OUTSTANDING.

4) Overdue Accounts back to top
After 40 days a surcharge of 4% of the gross amount will be levied on a daily basis.

5) Retention of Title back to top
a) Property, legal or beneficial, in any goods supplied by the seller, shall pass to the buyer only when the seller has received full payment for all sums then owed by the buyer to the seller.
b) Goods in respect of which property has remained with the seller shall be kept identifiable as those of the seller, and the buyer shall at its own expense immediately return such goods to the seller, or permit the seller to enter into the buyer’s premises to collect such goods should the seller so request.
c) Risk shall pass to the buyer with possession of the goods.

6) Claims back to top
Claims arising from loss of, or damage to, goods in transit must be notified to the company in writing, within 3 days of receipt of goods in the case of damage, and 14 days of date of invoice in the case of loss. Claims made outside the above time limits will not normally be entertained by the Company.

7) Extended Credit back to top
A deposit and two post-dated cheque system is available for equipment orders over £500.00. A charge of £10.00 for every £500.00 or part thereof will be made for administration costs. This is available to customers who have supplied one bank and two trade references.

8) Returned Goods back to top
Exclusions – For hygiene reasons the seller is unable to accept return of cuticle and nail nippers/scissors or equipment/accessories that have been used. Additionally, as a protective measure for all customers, returns of beauty products which have been opened, hair colours, or any other chemical product will not be accepted. These restrictions are for the benefit of all of our customers and mean that orders will be placed with complete confidence, as all goods supplied are new, and direct from the manufacturer.

When goods have been ordered in error or are not as expected, the Company may agree to their return on the following conditions:-
a) The item must be in perfect condition and returned in original packaging carton.

b)
A request must be made to the Company within 7 days of receipt of goods.

c)
Any refunds given for returned goods will be subject to a handling charge of £5.00 per item/order, or 10% of the value, whichever is the greater. No refunds will be made in respect of carriage charges levied on the original order.

d)
No returned goods will be accepted unless a Returns Authorisation has been given. The appropriate reference number must be quoted on accompanying documentation.

e)
It is the responsibility of the customer to arrange for the return carriage and to ensure that the returned goods are adequately packed to avoid damage in transit.

f)
We strongly recommend that proof of posting/despatch and appropriate insurance are obtained by the customer. WE CANNOT ACCEPT LIABILITY FOR LOST OR DAMAGED PARCELS IN TRANSIT TO US.

g)
Collections can be arranged via our carrier at a cost of £10 per parcel.

For equipment reported to be faulty, goods will be collected and inspected before any replacements or refunds can be issued.

8) Delivery back to top

The company undertakes to effect delivery as expeditiously as possible. Delivery dates cannot be guaranteed as they may be affected by circumstances beyond our control. Neither Ellisons, nor their nominated carrier will accept claims for consequential losses due to late delivery.

Force Majeure

The company shall be entitled to cancel or delay delivery of orders if it is delayed, hindered or prevented from delivery through circumstances beyond its control. Such circumstances shall include (but are not limited to) industrial action, accident, fire, terrorism, Act of God or failure to deliver by suppliers or carriers.

UK Mainland

Parcels will normally be sent by Carrier Express Service or by Royal Mail First Class. Charges will be as follows:

a) Orders with a net value of £100 or over (excluding large items) will be sent CARRIAGE FREE (Excluding the Express Service charge - UK Mainland only). *

b) Small parcels will be despatched by First Class Post at a minimum charge of £1.75. Parcels over 500gms and less than 1Kg will be charged at £2.75. Small parcels with goods at a value in excess of £40.00 will be despatched via the Carrier Service at a charge of £4.75 for insurance reasons.

c) Items over 1Kg or £40.00 will be despatched via our Carrier Express Service at a charge of £4.75 per parcel for parcels up to 25Kg.

d) Urgent deliveries can be arranged at an additional cost via the Carrier’s Express Service. For example, a Next Day Before Noon delivery will be charged at £10.00 per parcel and Saturday delivery can be arranged for £12.00 per parcel, or £20.00 per parcel for a Saturday Before Noon delivery.

e) Please allow an extra 2-3 days for deliveries to the Scottish Highlands and Islands.

* 1) This offer excludes all items of furniture; couches, trolleys, chairs and stools, screens, nail stations etc.

2) All other areas are not included in the FREE Carriage offer and normal carriage terms apply.

Express Delivery

UK Offshore Destinations

Parcels will normally be sent by Carrier Express Service and on orders with a net value below £100.00 the charges will be:

a) Northern Ireland - £10.00 per parcel up to 25Kg regardless of order value. (2-3 day service)

b) Channel Islands - £7.50 per parcel up to 25Kg regardless of order value. (2-3 day service)

c) Isle of Man - £12.50 per parcel up to 25Kg regardless of order value. (2-3 day service)

d) Republic of Ireland ( Eire) £12.00 per parcel regardless of order value. (2-3 day service)

e) Please ask for a price if urgent delivery is required for any of the above destinations. Please see sections for Large/Heavy items.

Export (Including BFPO)

We will be pleased to arrange for the export of goods to any part of the world - PRICES UPON APPLICATION.

Large/Heavy Items

a) Portable couches will be charged at the special rate of £6.00 each for UK Mainland destinations (£10.00 for Northern Ireland and £15.00 for the Channel Islands and the Isle of Man).

b) All other salon couches (excluding Electroglide Couches, Hydraulic Couches and Large Chairs) will be charged at £15.00 for UK Mainland destinations. Electroglide couches will be charged at £35.00.

c) PLEASE ASK FOR FOR CARRIAGE CHARGES ON LARGER HEAVIER ITEMS SUCH AS THE ESTHETIX MEMORY COUCH & NAIL STATIONS

d) PLEASE ASK FOR QUOTATIONS FOR OFFSHORE DESTINATIONS

 

9) Cancellations back to top
Cancellation of an order prior to delivery will only be accepted on the following terms:
a) Standard equipment or products - 5% handling charge
b) Special non-standard items not included in (a) above cannot be accepted for cancellation and payment must be made in full. CANCELLATION AFTER DESPATCH CANNOT BE ACCEPTED.

10) Alterations back to top
Alterations to orders must be confirmed in writing and agreed in writing by the Company.

11) Guarantee back to top
This guarantee shall not apply to damage caused through fire, accident, misuse, fair wear and tear, neglect, or any attempt at repair or adjustment other than by our Service Department. All Esthetix equipment is covered by a full two year guarantee. Other equipment according to manufacturer’s warranty. All glass items are specifically excluded from this guarantee.

12) General back to top
Goods are sold on the understanding that they will only be used for their intended purpose by fully trained, responsible persons, or students under qualified instruction. Goods are not supplied on a sale or return basis. No responsibility will be accepted by E.A. Ellison and Co. Ltd. for damage or injury resulting from accidental misuse by untrained personnel without qualified supervision.

All offers in this catalogue are subject to stock availability, and we reserve the right to restrict or refuse any order or application for credit at any time. We also reserve the right to obtain credit information where necessary.

We take great care to ensure the accuracy of sizes, prices and specifications. Whilst such descriptions are given as a guide and in good faith, they are subject to alteration without notice. If we discover an error in the price of goods you have ordered we will inform you as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it.

1. Definitions back to top
Contract: means the contract for the sale and purchase of the goods and/or the supply and acquisition of the services subject to these conditions
Goods: means the goods works and materials (including any instalment of the goods or any part of them) described in the order.
Services: means the services (if any) described in the order: and
Specification: includes any plans, drawings, date or other information relating to the goods or services.

2. Contract back to top
2.1 The contract comprises an offer by the buyer to purchase the goods and/or acquire the services subject to the provisions of the order and to these conditions and the suppliers acceptance thereof by word or conduct.
2.2 No variation to the contract shall be binding unless agreed in writing between the authorised representative of the buyer and the supplier.
2.3 These conditions shall apply to the contract to the exclusion of all other terms and conditions.

3. Waiver back to top
3.1 Any failure by the buyer to insist at any time upon the performance of any of the terms, provisions or undertakings of the supplier contained in the contract shall not constitute or be construed as a waiver thereof.

4. Force Majeure back to top
4.1 The buyer may by notice in writing to the supplier cancel any order or delay delivery of the goods or performance of the services where owing to a cause beyond the buyers control (save that the buyer will shall pay the supplier for all raw materials used and /or goods delivered and/or services performed prior to receipt of such notice)
4.2 If either buyer and/or supplier consider that any circumstance of force majeure has occurred which may affect the performance of its obligations then he shall notify the other in writing giving full details of the force majeure event.

5. Price back to top
5.1 The price of the goods and the services shall be fixed and as stated on the order for a period of time agreed between both parties and, unless otherwise stated, shall be:
exclusive of any applicable value added tax which shall be payable by the Buyer (subject to receipt of a VAT invoice) and for UK suppliers inclusive of all charges for packaging, packing, shipping (not applicable to foreign suppliers) carriage, insurance and delivery of the goods to the address for delivery as shown on the order and any duties, imposts or levies other than value added tax. For Overseas suppliers, shipping/carriage charges are not included in the price unless previously agreed
5.2 No increase in the price may be made (whether on account of increased material, labour or transport costs, fluctuation in rates of exchange or otherwise) without the prior consent of the buyer in writing.

6. Payment back to top
6.1 The supplier shall be entitled to invoice the buyer at the times and in the manner specified in the contract.
6.2 Provided that the invoice was one which under the contract the supplier was entitled to submit the buyer shall pay the supplier 30 days after the receipt of invoice or within the period of days stated in the contract.
6.3 Invoices received after the 15th of the month, following the date of delivery and /or completion may be deferred to the following month’s accounts.
6.4 The buyer shall be entitled to set off against the price any sums owed to the buyer by the supplier.

7. Delivery back to top
7.1 The goods shall be delivered to and the services shall be performed at, the address stated by the buyer in the order on the date or within the period stated on the order, in either case during the buyer’s usual business hours Monday to Thursday 8.30-3.30 and Friday 8.30-12.30. All deliveries must comply with buyer’s delivery specification issued May 2006.
7.2 The buyer shall be entitled to reject any goods delivered and/or services supplied which are not in accordance with the specification, approved sample and the contract, and shall not be deemed to have accepted any goods or services until the buyer has had a reasonable time to inspect them following delivery or performance or, if later, within a reasonable time after any latent defect in the goods and/or services has become apparent.
7.3 Any goods supplied in excess of orders are subject to rejection and, in such an event, will be returned at the suppliers risk and expense.
7.4 The time for delivery and /or completion of the work to be performed under the contract shall be the essence of the contract.
7.5 All packages of goods must be clearly numbered with the buyers order number and labelled with the description of the goods.
7.6 Any additional transport costs incurred due to late delivery will be passed to the supplier.

8. Risk and Property back to top
8.1 Risk of damage to or loss of the goods and /or services shall pass to the buyer upon delivery to the buyer in accordance with the contract.
8.2 The property in the goods shall pass to the buyer upon delivery, unless payment has been made for the goods prior to delivery, when title shall pass to the buyer once payment has been made.

9 Specification back to top
9.1 Goods or services supplied by the supplier will be in accordance with specification and/or approved sample.
9.2 Any changes to the specification must be approved by the buyer in writing.
9.3 All goods and /or services shall be subject to any tests required in the buyers order, and the buyer shall be entitled to be present at all such tests.

  • If upon inspection any goods and/or services are defective or not in accordance with specification and/or approved sample, the buyer shall inform the supplier and the supplier shall at its own expense make good the defect and /or ensure the goods and/or service comply with the specification and / or approved sample
  • All electrical items must be CE marked and supplied with correct UK plug and appropriate fuse. Each unit must be clearly labelled with CE Mark, rating label and serial number.
  • All cosmetic products to comply to the European Cosmetic Products Legislation.

10 Intellectual Property Rights , equipment, drawings. back to top
10.1 All concepts, patterns, drawings, specifications, tools and equipment supplied by the buyer to the supplier shall remain the property of the buyer together with all intellectual property rights of whatever nature therein and all such items shall be used solely for the purpose of the contract and returned to the buyer forthwith on request or upon completion of the contract. In the event of failure to return such items after request, the buyer is authorised to enter the premises of the supplier for the purpose only of recovering the said items.
10.2 Risk in such tools, equipment, patterns, drawings, specifications shall pass to the supplier on delivery and remain with the supplier until the same are returned to the buyers premises.

11. Warranties and liability.  back to top
11.1 The supplier warrants to the buyer that the goods:

  • will be of the highest quality and fit for their normal purpose.
  • will be free from defects in design, material and workmanship
  • will correspond with any relevant specification, quantities, stipulations or samples provided in the contract
  • will comply with all statutory requirements and regulations relating to the sale of the goods.
  • will be approved and clearly marked as so. Copy of CE Mark Certificate, data sheet and INCI list to be available immediately on request.

11.2 The supplier warrants to the buyer that the services:

  • will be performed by appropriately qualified and trained personnel, with due care and diligence
  • will be provided to such high standard of quality as it is reasonable for the buyer to expect in all circumstances.
  • If any goods and/or services are not supplied or performed in accordance with the contract , or if any defect shall materialise within a period of 12 months after delivery and/or performance then the buyer shall be entitled at the buyers option: to require the supplier to repair the goods and/or supply replacement goods or services
  • to treat the contract as discharged by the suppliers breach (which includes any failure of the goods and/or services to meet the contract requirements following repair and/or replacement) and require the repayment of any part of the price which has been paid.

11.4 In addition to its obligation in
11.3 the supplier shall indemnify the buyer in full against all liability, loss including loss of profit and increased production costs, damages, costs and expenses (including legal expenses) awarded against or incurred or paid by the buyer as a result of or in connection with:

  • breach of any warranty given by the supplier
  • any claim that the goods infringe, or their importation, use of resale, infringes the patent, copyright, database right, registered design, design right, trade marker other intellectual property rights of any other person, except to the extent that the claims arises from compliance with any specification or drawing supplied by the buyer
  • any liability under the consumer protection act 1987 in respect of the goods

12 Confidentiality back to top
All information communicated to the supplier shall be confidential. The supplier shall keep confidential and shall not use nor disclose any secret or confidential information of the buyer without written consent of the buyer.

13 Termination back to top
13.1 The buyer shall be entitled to cancel part or all of the order by giving notice to the supplier at any time prior to delivery or performance, the buyers only liability will be to pay the supplier the price for the goods already used before the cancellation of the order.
13.2 The buyer shall be entitled to terminate the contract without liability to the supplier by giving notice to the supplier at any time if:

  • the supplier commits a material breach of any provision of this contract which does not remedy.
  • The supplier makes a voluntary arrangement with its creditors or is subject to a bankruptcy order or becomes subject to an administration order or goes into liquidation.
  • The supplier ceases, or threatens to cease, to carry on business or the buyer reasonably apprehends that any of the events mentioned above is about to occur in relation to the supplier and notifies the supplier accordingly.

14.1 The construction, performance and validity of the contract shall in all respects be governed by English Law
